Bequia  Securities, LLC is registered with the Securities and Exchange Commission (SEC) as a  broker-dealer and is a member of the Financial Industry Regulatory Authority  (FINRA). A registered broker-dealer may charge transaction fees for  facilitating securities transactions for its clients. What Investment Services and Advice Can You  Provide Me?
We act as a  placement agent for private companies and funds that issue securities. We  refer to these clients as “issuers”.  We  introduce these issuers to institutional investors as well as certain retail  investors. If you are contacted by one of our financial professionals  regarding an investment opportunity, it will be solely to assess your  interest in obtaining further information from the issuer. We have not  determined that the investment is suitable for you in particular. You will make  the ultimate decision regarding the purchase or sale of an investment.  We do not  offer any proprietary products. We only offer investments issued by third  parties with whom we have an engagement letter.  We use our best efforts to identify potential  investors who may have an interest in learning more about a particular  issuer’s offering, but we do not have any requirement to sell any minimum  amount of securities or to act as an underwriter.    We do not  open or maintain customer accounts. We do not monitor investment performance  or exercise any discretionary or nondiscretionary investment authority. Some  issuers do require a minimum investment that would be disclosed in the  offering documents, but we do not have control over that amount.  We do not have custody of any securities or  of any cash.  We will never ask  you to send us any cash.

What Fees Will I Pay? We do not charge you any fees or expenses for our services.  Our clients are typically private companies  and funds seeking to raise capital. These issuers typically pay success fees for  our services, which may be in the form of cash or equity in the issuer. Success  fees are typically calculated as a percentage of the consideration paid from  the buyer to the issuer in the transaction. We pay most of the success fee to  the financial professional(s) that sourced the buyer and seller in the  transaction. Compensation is typically paid in cash, but may also be paid in equity.In  general, you will pay fees and costs whether you make or lose money on your  investments. Fees and costs will reduce any amount you make on your  investments over time. Please make sure you understand what fees and costs  you are paying.

What Are Your Legal Obligations to Me When  Providing Recommendations? How Else Does Your Firm Make Money and What  Conflicts of Interest Do You Have? ‍We do not provide recommendations. The way we make money creates some  conflicts with your interests.  You  should understand and ask about these conflicts because they can affect the  services we provide you.  Here are some  examples to help you understand what this means:  
Our clients are the private company or fund that is raising capital (which we call the “issuer”).  We are usually being paid a success fee by the issuer in a securities transaction.  Our financial professionals are paid when you invest in an issuer that was introduced to you.  This creates a conflict of interest.   We can only introduce investment opportunities for which we have an engagement agreement with an issuer. Therefore, we cannot provide you with choices for many different investment opportunities that may be competitive. The investment we present to you may not be the best one for you. You must make that determination on your own based on your own comparison of opportunities in the private markets, and with the advice of your own investment advisor.
